These Terms of Use ("Terms") govern your access to and use of the website at ravenoakconsulting.com and related pages (the "Site"). The Site is operated by Raven Oak Consulting, LLC, an Illinois limited liability company ("Raven Oak," "we," "us," or "our"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

1. Informational Purposes Only

The Site provides general information about Raven Oak and its services. Nothing on the Site is legal, financial, investment, tax, accounting, security, or other professional advice. Nothing on the Site is a recommendation about any person, business, transaction, or investment. Do not act or refrain from acting based on Site content without obtaining advice specific to your circumstances. Raven Oak is not a law firm and does not provide legal advice.

Descriptions of services, capabilities, and engagement types are general summaries. The scope of any service we provide, and any related deliverables, are defined only in a signed written engagement agreement. Services are subject to our acceptance of the engagement, conflict checks, and applicable law. We may decline any engagement in our discretion. Information on the Site about government contracting, certifications, or contract vehicles is not an offer, bid, or proposal and does not bind Raven Oak to any government procurement.

2. No Client Relationship

Using the Site, submitting the contact form, or emailing or calling us does not create a client, advisory, fiduciary, or confidential relationship between you and Raven Oak. A client relationship exists only under a written engagement agreement signed by Raven Oak and the client. Until then, we have no duty to act on your behalf. We also have no duty to keep information you send confidential beyond what is described in our Privacy Policy, although we treat inquiries discreetly.

Please do not send sensitive information through the Site. That includes Social Security numbers, dates of birth, financial account numbers, government identification numbers, health information, or detailed personal information about other people. A brief description of your need is enough to start a conversation.

3. Consumer Reporting Notice

Raven Oak is not a consumer reporting agency, as defined in the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), and the Site and its content are not consumer reports. No information on or obtained through the Site may be used to determine eligibility for credit, insurance, employment, housing, or any other purpose covered by the FCRA. Where an engagement involves a purpose regulated by the FCRA or similar state laws, Raven Oak will perform that engagement only under a written agreement that addresses applicable legal requirements.

4. Eligibility and Acceptable Use

You must be at least 18 years old to use the Site. You agree to use the Site only for lawful purposes. You agree not to:

5. Intellectual Property

The Site and all of its content are owned by Raven Oak or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. This includes text, graphics, logos, the Raven Oak name and crest, photographs, design, and code. Raven Oak grants you a limited, revocable, non-exclusive, non-transferable license to view the Site and print or save individual pages for your personal or internal business use, provided you keep all proprietary notices. Any other use requires our prior written permission. This includes reproducing, distributing, modifying, framing, publicly displaying, or creating derivative works from Site content. Third-party names, marks, and logos belong to their respective owners. Their mention does not imply endorsement or affiliation.

6. Information You Submit

You represent that information you submit through the Site is accurate and that you have the right to provide it. You grant Raven Oak permission to use that information to respond to you and for the other purposes described in our Privacy Policy. Please do not send confidential, proprietary, or privileged material through the Site. If you do, we will not treat it as received under any confidentiality obligation unless and until a written agreement says otherwise.

The Site relies on third-party services. These include Cloudflare for hosting and FormSubmit for contact-form delivery. The Site may also contain links to third-party websites. We do not control third-party services or websites and are not responsible for their content, policies, or practices. Your use of them is subject to their own terms and privacy policies. A link does not imply our endorsement.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, RAVEN OAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. We do not warrant that the Site will be uninterrupted, secure, or error-free, or free of viruses or other harmful components. Site content may be out of date. We have no obligation to update it.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RAVEN OAK AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. THIS APPLIES REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you. This section does not limit liability under a signed engagement agreement, which is governed by its own terms.

10. Indemnification

You agree to defend, indemnify, and hold harmless Raven Oak and its members, managers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your use or misuse of the Site, (b) information you submit, or (c) your violation of these Terms or of any law or third-party right.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state courts located in Kendall County, Illinois, or in the United States District Court for the Northern District of Illinois. You consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may revise these Terms at any time by posting the updated version on the Site and changing the "Last Updated" date. Changes take effect when posted. If you continue to use the Site after changes are posted, you accept the revised Terms.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Raven Oak about the Site. They supersede any prior understandings about the Site. They do not replace or modify any signed engagement agreement. If any provision is found unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms. We may assign them without restriction.
